Distribution partner QCT Networks

ireya × QCT Networks

Commercial partnership framework: QCT Networks as ireya's exclusive distributor for Malaysia, Brunei, Indonesia and Singapore.

Partnership at a glance

The roles, and the figures that frame the agreement.

Ireya appoints QCT Networks as its exclusive distributor and commercial principal across four designated Southeast Asian markets: Malaysia, Brunei, Indonesia and Singapore.

QCT Networks is responsible for sales, marketing, customer contracts, subscription billing and promoting new product offerings to existing customers. Ireya retains full ownership of the product, software development, technical deployment, product support, product roadmap and direct consulting services. Ireya also retains final authority to approve or reject prospective customers introduced by QCT Networks.

QCT Networks is not selling an AI chat alone, and ireya is not a static product. It is a living product: more AI apps are in R&D, with more interesting products and features to follow.
Base subscription reference priceRM350Per user / month
Minimum subscription50 usersPer customer
Annual revenue targetRM2.1MAnnualised gross subscription revenue

Baseline: 500 paid users at RM350 per user per month is RM175,000 gross a month, or RM2,100,000 annualised.

Exclusive distribution territory

Exclusivity depends on the annual performance review.

  • Malaysia
  • Brunei
  • Indonesia
  • Singapore

QCT Networks' exclusive rights apply only to these four markets.

All other markets remain reserved for Ireya, which may appoint other distributors or sell directly outside the exclusive territory.

The annual revenue target is measured collectively across all four markets, not separately for each country.

No competing product. QCT Networks cannot engage with another client for a product similar to ireya.

Every customer starts on the base package. Premium packages follow as new capabilities become commercially ready.

  • Existing customers may choose to upgrade when Premium Packages become available, subject to applicable commercial terms.
  • Premium Package pricing, subscription structure and revenue-sharing arrangements must be agreed in writing before commercial launch.
  • New products reach existing customers through QCT Networks. When Ireya introduces a new product, AI application or Premium Package, QCT Networks is responsible for approaching and promoting the offering to its existing customers within the exclusive territory.
  • New products do not automatically modify Base Package pricing or existing commercial arrangements.

Annual revenue target & pricing flexibility

The target is a revenue figure. The user count is a reference, not a requirement.

The annual commercial target for QCT Networks is RM2,100,000 of annualised gross subscription revenue. The baseline of 500 paid users at RM350 per user per month is a commercial reference rather than a mandatory user-count requirement.

QCT Networks may propose higher pricing with fewer users, lower pricing with more users, or mixed approved prices across customers. All alternative pricing, discounts and promotional arrangements require Ireya's prior written approval.

Performance measurement

QCT Networks is deemed to have achieved its annual commercial performance target when aggregate annualised gross subscription revenue from qualifying active, approved and paying customers acquired during the contractual year reaches or exceeds RM2,100,000.

  • Paid-user count is a performance indicator but is not the sole determinant of target achievement.
  • Renewals of previously existing subscriptions, trials, complimentary licences and subscriptions rejected by Ireya are excluded from the new-business performance calculation.
  • Additional new paid licences sold to existing customers qualify.

Customer acceptance & approval

Ireya decides which customers it takes on.

Ireya reserves the right to review, approve or reject any prospective customer introduced or secured by QCT Networks, at its sole commercial discretion and subject to applicable laws.

  • All new customer subscriptions require Ireya's acceptance before any commitment to product deployment or service delivery.
  • Ireya may decline to onboard a prospective customer without being obligated to give QCT Networks a detailed commercial justification.
  • QCT Networks' successful sales engagement, proposal acceptance or commercial negotiation does not automatically oblige Ireya to accept or service a prospective customer.
  • QCT Networks must obtain Ireya's approval before making binding commitments on customer acceptance, deployment or service availability on Ireya's behalf.
  • Rejected customers and their proposed subscriptions do not count towards QCT Networks' annualised gross subscription revenue target.

New customer deployment & onboarding

Why the first month goes to ireya.

Ireya receives 100% of the first month's Net Subscription Revenue for each newly acquired and approved customer, to compensate for direct technical deployment and onboarding responsibilities.

Deployment responsibilities

  • Initial product deployment and technical setup
  • Customer environment configuration
  • Onboarding and implementation guidance
  • Initial product familiarisation and handover
  • Deployment-related issue resolution

The first-month allocation applies once per newly acquired customer. It does not recur on annual renewals and does not constitute an additional customer charge.

Product support & maintenance

What standard subscription support covers, and what it does not.

Included

Standard subscription support

  • Investigation and resolution of product-related incidents reported by customers
  • Bug fixes and correction of defects affecting existing product functionality
  • Technical troubleshooting relating to standard product features
  • Maintenance activities needed to keep existing subscribed functionality working
Excluded

Outside standard support

  • New features, functionality or modules
  • Customer-specific customisation or enhancements
  • Change requests modifying existing product behaviour or business logic
  • New integrations, or customer-requested changes to existing integrations
  • Additional development or consulting beyond standard product support
Change requests and enhancements. Requests outside standard product support are classified as a Change Request (CR) or Enhancement. Ireya assesses them and, where accepted, manages them under Direct Consulting & Customer-Specific Enhancements through a separate Statement of Work (SOW). Ireya retains the right to assess, accept, reject, prioritise and determine the commercial pricing of such requests. All revenue and profit from directly contracted consulting, change requests and enhancement engagements remain exclusively with Ireya unless otherwise agreed in writing.

Sales performance & exclusivity renewal

How exclusivity is earned and kept.

  1. 1

Initial exclusive appointment – 12 months

QCT Networks receives exclusive distribution rights in Malaysia, Brunei, Indonesia and Singapore.

  2. 2

    Quarterly performance reviews

Both parties review new subscriptions, approved pricing, customer acquisition and progress towards the RM2.1 million annualised revenue target.

  3. 3

Annual commitment – RM2.1 million annualised gross subscription revenue

From qualifying active, approved and paying customers acquired during the contractual year across all four markets. QCT Networks may reach it through higher pricing with fewer users, lower pricing with more users, or a combination of approved prices.

  4. 4

    Annual renewal

Achieving the target satisfies the commercial performance requirement for consideration of another 12 months of exclusivity, subject to the remaining contractual conditions and Ireya's written confirmation.

  5. 5

    Failure to meet target

Ireya may decline exclusivity renewal or convert QCT Networks' appointment to non-exclusive distribution, subject to the final contractual notice and corrective action process.

Direct consulting & customer-specific enhancements

Outside the subscription.

Ireya reserves the right to engage and contract directly with customers, including customers originally introduced by QCT Networks, for professional services beyond standard subscription entitlements.

Change requests

Each engagement is governed by a separate SOW. QCT Networks has no automatic commission or profit entitlement for directly contracted services unless otherwise agreed in writing.

Product ownership, sale rights & exit strategy

100% Ireya Product Ownership

All software, source code, intellectual property, product assets and proprietary technology remain owned by Ireya. QCT Networks receives distribution rights only.

Unrestricted Right to Sell Ireya

The Ireya Product Owner reserves the right to sell or transfer the product, intellectual property or business to any third party without requiring QCT Networks' commercial approval, subject to applicable law and existing contractual obligations.

Conditional QCT Networks Sale Commission

Where QCT Networks is formally engaged and materially contributes to a successful sale of Ireya, a commission may be payable based on a separately agreed written percentage and calculation basis. No automatic commission applies.

Post-Sale Subscription Continuity

Existing active subscriptions retain their applicable revenue-sharing arrangements until the partnership agreement expires or is lawfully terminated. Any product sale must address continuity of obligations and necessary buyer or customer consents. A product sale does not automatically renew QCT Networks' exclusivity or extend the partnership term.
